These Terms and Conditions ("Terms") govern your access to and use of the websites, applications, and services (collectively, the "Service") made available by Elego, Inc., a Delaware corporation with its principal place of business at 130 East 63rd Street, New York, NY 10065 ("Elego," "we," "us," or "our").
By accessing or using the Service, or by clicking to accept these Terms, you ("Customer," "you," or "your") agree to be bound by them. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, in which case "you" refers to that entity. If you do not agree to these Terms, do not use the Service.
The Service is designed for professional use, including by companies, teams, and individual practitioners such as solo founders, freelancers, and independent consultants. By using the Service, you confirm that you are accessing it for business, professional, or work-related purposes, whether on behalf of an organization or in your own professional capacity.
1. The Service
Elego provides an AI-powered business development analyst that helps teams research accounts, generate outreach materials, summarize client information, and perform related sales and business development tasks ("Service"). The Service relies on large language models and other machine learning systems and may evolve over time. We may add, modify, or remove features at any time without prior notice, provided that we will not materially degrade the core functionality during a paid subscription term without offering a refund of pre-paid, unused fees.
2. Eligibility and Accounts
To use the Service you must (a) be at least 18 years old, (b) have legal capacity to enter into a binding contract, and (c) not be barred from receiving the Service under the laws of the United States or any other applicable jurisdiction.
You are responsible for keeping your account credentials confidential and for all activity that occurs under your account. You agree to notify us promptly at founders@elego.ai if you suspect unauthorized access. We are not liable for losses caused by your failure to secure your account.
You must provide accurate, current, and complete information when registering and keep that information up to date.
3. Subscription, Fees, and Payment
Access to the Service is provided on a paid subscription basis. The applicable fees, billing cycle, user limits, and any usage-based charges are set out in the order form, online checkout, or other ordering document you accept ("Order").
Unless the Order says otherwise:
Fees are quoted and payable in US dollars.
Subscriptions are billed in advance and are non-refundable except as required by law.
Subscriptions automatically renew at the end of each term for the same length unless either party provides written notice of non-renewal at least thirty (30) days before the end of the then-current term.
We may revise fees for any renewal term by giving you at least thirty (30) days' notice before the renewal date.
You are responsible for all taxes associated with your purchase, other than taxes based on our net income.
Late payments accrue interest at the lower of 1.5% per month or the maximum rate permitted by law. We may suspend the Service if any undisputed amount is more than fifteen (15) days overdue, after giving you written notice.
4. Customer Data and Ownership
"Customer Data" means any data, content, files, prompts, and documents that you or your users submit to the Service, together with the outputs generated for you in response ("Outputs").
As between you and Elego, you retain all right, title, and interest in and to Customer Data, including Outputs. You grant us a limited, worldwide, royalty-free license to host, copy, transmit, display, and process Customer Data solely as necessary to (a) provide and maintain the Service, (b) prevent or address technical or security issues, (c) comply with law, and (d) enforce these Terms.
You are responsible for the accuracy, quality, and legality of Customer Data and for having all rights necessary to submit it to the Service.
5. No Training on Customer Data
We do not use Customer Data to train, fine-tune, or improve our own foundation models or any third-party foundation models. Customer Data is processed solely to provide the Service to you. We may use aggregated, anonymized data that does not identify you or any individual to operate, secure, and improve the Service.
6. Confidentiality
Each party may have access to information of the other that is marked or reasonably understood to be confidential ("Confidential Information"). Customer Data is your Confidential Information. The Service, including its features, performance, and pricing, is our Confidential Information.
The receiving party will (a) use the disclosing party's Confidential Information only to perform under these Terms, (b) protect it with at least the same care it uses for its own confidential information, and never less than reasonable care, and (c) not disclose it to any third party except to employees, contractors, and service providers who have a need to know and are bound by confidentiality obligations no less protective than those in this Section.
These obligations do not apply to information that is or becomes publicly available without breach, was already known to the receiving party without confidentiality obligations, is independently developed without reference to the disclosing party's Confidential Information, or is rightfully received from a third party without confidentiality obligations.
7. AI Outputs and Disclaimers
The Service uses generative AI to produce Outputs. AI systems can produce results that are inaccurate, incomplete, biased, or otherwise unsuitable for a given purpose. Outputs may also be similar across users who submit similar prompts.
You acknowledge and agree that:
Outputs are provided "as is" and are not professional, legal, financial, investment, medical, or any other regulated advice.
You are responsible for reviewing all Outputs before relying on them or sharing them externally and for verifying any factual claims they contain.
You will not present Outputs as having been generated by a human if doing so would mislead a recipient in a way that could cause harm.
You will not use Outputs to make decisions that have legal or similarly significant effects on individuals without meaningful human review.
8. Acceptable Use
You agree not to, and not to permit any user or third party to:
use the Service in violation of any law, regulation, or third-party right, including intellectual property and privacy rights;
submit any data that contains protected health information, payment card data, government identifiers, or other sensitive personal data, unless we have agreed in writing to receive such data;
use the Service to send spam, conduct surveillance of individuals, generate sexual content involving minors, generate content intended to harass or threaten a specific person, or build a profile of an individual without a lawful basis;
reverse engineer, decompile, or attempt to discover the source code or underlying models of the Service, except to the extent applicable law expressly permits;
use the Service to develop a competing product, train a competing model, or benchmark for the purpose of public comparison without our written consent;
access the Service through automated means that materially exceed normal use or interfere with the Service's operation;
circumvent any usage limits, rate limits, or access controls;
resell, sublicense, or otherwise make the Service available to any third party except to your authorized users.
We may suspend access to all or part of the Service if we reasonably believe you are violating this Section, with notice to you when reasonably practicable.
9. Intellectual Property
We and our licensors retain all right, title, and interest in and to the Service, including all software, models, documentation, and any improvements or derivatives, and all related intellectual property rights. No rights are granted to you other than the limited right to access and use the Service in accordance with these Terms.
If you provide us with feedback, suggestions, or ideas about the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that Feedback for any purpose, without obligation to you.
10. Third-Party Services and Models
The Service may rely on third-party providers, including foundation model providers and cloud infrastructure providers. Your use of the Service may be subject to those providers' terms with respect to their services. We are not responsible for the acts or omissions of third-party providers, but we will use commercially reasonable efforts to select reputable providers and to comply with their terms in a way that allows us to deliver the Service.
11. Term, Termination, and Suspension
These Terms apply for as long as you have an active account or subscription. Either party may terminate these Terms for material breach if the breach is not cured within thirty (30) days of written notice describing the breach. We may terminate or suspend your access immediately, without notice, if you violate Section 8 (Acceptable Use), if your account is more than 30 days overdue, or if continued provision of the Service would expose us to legal liability.
On termination:
your right to access the Service ends;
you remain liable for any fees accrued before termination;
we will, on written request received within thirty (30) days of termination, make Customer Data available for export in a commercially reasonable format. After that period, we may delete Customer Data in the ordinary course;
the sections that by their nature should survive termination will survive, including Sections 4, 6, 9, 12, 13, 14, 15, and 17.
12. Warranties and Disclaimers
Each party represents that it has the authority to enter into these Terms and that doing so will not conflict with any other agreement.
Except as expressly stated in these Terms, the Service is provided "AS IS" and "AS AVAILABLE." To the maximum extent permitted by law, Elego disclaims all warranties, whether express, implied, statutory, or otherwise, including the implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and any warranties arising from a course of dealing or trade usage. We do not warrant that the Service will be uninterrupted, error-free, or that Outputs will be accurate, complete, or appropriate for your purposes.
13. Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising out of or related to these Terms or the Service, even if advised of the possibility of such damages.
Each party's total aggregate liability arising out of or related to these Terms will not exceed the greater of (a) the fees paid or payable by you to Elego in the twelve (12) months immediately preceding the event giving rise to the liability, or (b) one hundred US dollars ($100).
The limitations in this Section do not apply to (i) your obligation to pay fees, (ii) either party's indemnification obligations, (iii) breach of confidentiality obligations under Section 6, or (iv) liability that cannot be limited under applicable law (such as for fraud, gross negligence, or willful misconduct).
Indemnification
By Customer. You will defend, indemnify, and hold harmless Elego from and against any third-party claim arising out of (a) your or your users' breach of Section 8 (Acceptable Use), (b) Customer Data, including any claim that Customer Data infringes a third-party right, or (c) your use of Outputs in violation of these Terms.
By Elego. We will defend, indemnify, and hold you harmless from any third-party claim alleging that the Service, when used in accordance with these Terms, infringes the third-party's US patent, copyright, or trademark. This obligation does not apply to claims arising from Customer Data, Outputs, your combination of the Service with anything not provided by us, or your use of the Service in breach of these Terms. If the Service becomes, or in our reasonable opinion is likely to become, the subject of an infringement claim, we may, at our option, (i) procure the right for you to continue using the Service, (ii) modify the Service so it is non-infringing, or (iii) terminate your subscription and refund any pre-paid, unused fees. This Section states our sole liability and your exclusive remedy for any third-party intellectual property claim.
The party seeking indemnification must promptly notify the other party in writing, give the indemnifying party sole control of the defense and any settlement (provided no settlement may admit liability or impose obligations on the indemnified party without consent), and provide reasonable cooperation.
Privacy and Data Protection
Your use of the Service is also governed by our Privacy Policy at https://www.elego.ai/legal-pages/privacy-policy, which is incorporated into these Terms by reference.
Where we process personal data on your behalf, we will do so in accordance with a Data Processing Addendum ("DPA") made available on request. To the extent of any conflict between these Terms and the DPA with respect to personal data, the DPA controls.
Beta Features
We may from time to time make beta, alpha, preview, or other early-access features available. Beta features are provided "as is," may be modified or discontinued at any time, and are excluded from any service-level commitments. Section 12 (Warranties and Disclaimers) and Section 13 (Limitation of Liability) apply with full force to beta features.
Modifications to the Terms
We may update these Terms from time to time. If we make a material change, we will provide reasonable notice, for example by email or through the Service, before the change takes effect. Your continued use of the Service after the effective date of the updated Terms constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Service and may, where the change is materially adverse to you, terminate your subscription and receive a pro-rata refund of any pre-paid, unused fees.
Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
The parties will first attempt in good faith to resolve any dispute through informal negotiation. Either party may then bring the dispute exclusively in the state or federal courts located in the state of Delaware, and each party irrevocably consents to the jurisdiction of those courts.
Each party waives any right to a jury trial. Neither party may bring or participate in a class action against the other.
Miscellaneous
Entire agreement. These Terms, together with any Order, the Privacy Policy, and any DPA, constitute the entire agreement between the parties on the subject and supersede all prior agreements and understandings.
Order of precedence. In the event of a conflict, the order of precedence is: (1) the DPA, (2) the Order, (3) these Terms, (4) the Privacy Policy.
No agency. The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
Assignment. Neither party may assign these Terms without the other party's prior written consent, except that either party may assign these Terms to an affiliate or to a successor in connection with a merger, acquisition, or sale of substantially all assets.
Notices. Notices to Elego must be sent to founders@elego.ai. Notices to you may be sent to the email address associated with your account.
Force majeure. Neither party is liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, internet or telecommunications failures, government actions, labor disturbances, pandemics, or major outages of third-party providers.
Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be modified to the minimum extent necessary to be enforceable.
Waiver. A failure to enforce a provision is not a waiver of the right to enforce it later.
Export controls. You will comply with all applicable US and international export control and sanctions laws.
US government users. The Service is "commercial computer software" and "commercial computer software documentation" as those terms are used in 48 C.F.R. 12.212 and 48 C.F.R. 227.7202.
